Sub: Intimation of appointment of Mr. Ratnagiri Sivaram Krishnan (DIN:06975736) as an Independent Director of the Company.

In terms of Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations"), we wish to inform you that based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors in their meeting held on 05" April,2021 have approved appointment of Mr. Ratnagiri Sivaram Krishnan (DIN:06975736) as an "Additional Director (Non-Executive Independent Director)" on the Board of Directors of the Company effective 06" April,2021 for a term of 5 (five) years up to 06" April, 2026, subject to approval of the Shareholders of the Company.

Mr. Ratnagiri Sivaram Krishnan (DIN:06975736) will be a Non-Executive, Independent Director and he is not related to the Promoter or Promoter Group and fulfills the criteria of independence as required under the provisions of the Companies Act, 2013 and the Rules framed thereunder and the Listing Regulations.

Further, this is to confirm that Mr. Ratnagiri Sivaram Krishnan is not debarred from holding the office of Director by virtue of any order of the Securities and Exchange Board of India (SEBI) or any other such authority.

Following the above-mentioned appointment, the strength of the Board of Directors of the Company has increased to 11 (Eleven) Directors, out of which 6 (Six) Directors are Independent Directors.

Further, as per requirement of Regulation 30 read with Schedule III, Para A, Clause 7B of SEBI (Listing Obligations and Disclosure Requirements) Regulations,2015, please find enclosed the detailed reasons for his appointment.

The Board meeting commenced at 1:00 pm and concluded at 04:15 p.m.
