Update On The Acquisition Of The Premier Plastics Group

Shareholders are referred to the announcements released on the Stock Exchange News Service on 06 November 2025 and 29 January 2026 respectively (the "terms announcements"). The terms announcements set out the details of Transpaco's proposed acquisition of all of the issued shares of Premier Plastics Proprietary Limited ("Premier") from Bundeena No 2 Proprietary Limited, Sixone Proprietary Limited and Alessandra Bragazzi (collectively the "Sellers") who have agreed to sell the shares to Transpaco with effect from 1 July 2025 ("Effective Date"), on certain terms and subject to certain conditions (the "Acquisition").

Shareholders are advised that Transpaco has been informed by the Competition Commission that it has prohibited the Acquisition. Transpaco is working through the Competition Commission's response and is considering all available options.

Shareholders will be updated in due course.
