Pursuant to the requirement of Regulation 30 and 33 of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 20L5, we hereby inform that the Board of Directors of the Company, at its meeting held today i.e. on Thursday, the 28th October, 2021 which commenced at 11.30 a.m. and concluded at 02.00p.m. approved the Un-Audited Financial Results of the Company for the second quarter and half year ended on 30th September, 2021. for the FY 202L-2022 together with the Limited Review Report thereon.

- 2 The t{ilf ,"-audited quarlerly results as prescribed in SEBI's Circular CIPJCFD/CM Dl15/2015 dated 3!{ovetnber, 20 l5 has been modified to comply with reqirements of SEBI's circular dated 5th July,20l6lnd AS and Schedule III (Division II) of Companies Act,20l3 applicable to companies that are required to comply with Ind AS.
- As the ultimate income tax liability will depend on results for the year ending on 3lst March, 2022,the position with regard to provision for current and deferred tax will be determined atthe end of the year.
- 4 Previous year figures are regrouped/rearranged wherever necessary.
- 5 The Conrpany's shares ale listed only on BSE Limited.
- 6 J'hele were no investor complaints pending at the beginning and at the end ofthe quarter.
- 7 As the Company has only one business segment, disclosure under Indian Accounting Standard I 08 on "Operating Segment " issued by the Institute of Chartered Accountants of lndia is not applicable.
- The accounting has been done as per applicable Ind AS- 109- Recognition and measurement of financial irtstrumerrt and tlre same is discounted using discount rate of 8.07Yo.
- There are sorrre entries on account of application of Ind AS 109 -Recognition and measurementof llnancial instrument however the said amounts were rounded off to amounts in lakhs, and the same is reduced to zero due to rounding off.

We have reviewed the accompanying statement of standalone unaudited financial results of "Megh Mayur Infra Limited" for the quarter ended 30th September, 2021 attached herewith, being submitted by the Company pursuant to the requirements of Regulation 33 of the SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015, as modified by circular no. CIR/CFD/FAC/62/2016 dated July 5, 2016.
This statement, which is the responsibility of the Company's management and approved by the Board of Directors, has been prepared in accordance with the recognition and measurement principles laid down in the Indian Accounting Standards (Ind-AS) $-$ 34, "Interim Financial Reporting" prescribed under section 133 of the Companies Act, 2013 read with SEBI Circular no. CIR/CFD/FAC/62/2016 dated $5th$ July, 2016 is the responsibility of Companies management and has been approved by the Board of Directors of the Company. Our responsibility is to issue a report on the Statement based on our review
We have conducted our review in accordance with the Standard on Review Engagements (SRE) 2410, "Review of Interim Financial Information performed by the Independent Auditor of the entity" issued by the Institute of Chartered Accountants of India (ICAI). This standard requires that we plan and perform the review to obtain moderate assurance as to whether the financial statements are free of material misstatement. A review is limited primarily to inquiries of Company personnel and analytical procedures applied to financial data and thus provides less assurance than an audit. We have not performed an audit and accordingly, we do not express an audit opinion.
We draw your attention to Note No. 3 of the statement regarding the non-ascertainment of Income tax liability (current tax and deferred tax) as per Indian Accounting Standard 12 on "Income Taxes" for the quarter ended 30th September, 2021 which is determined by the Company at the end of the year for the reasons stated in the said note. Our opinion is not qualified in respect of this matter.
