Result of General Meeting

Transense Technologies plc announces that at its general meeting held earlier today, all resolutions were passed unanimously.

Capitalised terms in this announcement have the same meaning as in the Circular dated 7 June 2013 except where otherwise indicated.

Application has been made to AIM for the admission of the 16,133,330 Second Stage Placing Shares, with trading expected to commence at 8.00 a.m. on 3 July 2013. Following the Admission of the Second Stage Placing Shares, the Company will have 244,084,048 Ordinary Shares in issue.

Until further notice, this figure of 244,084,048 may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.

As notified earlier today, the Company is expecting to complete the Offer at the maximum gross Offer amount of £1.05 million, through the issue of 14,000,000 Ordinary Shares at the Issue Price. The Company is in the process of discussing with certain shareholders a scale-back of their excess applications under the Offer and expects to complete a further placing of up to approximately £0.85 million in gross value at the Issue Price, in order to satisfy their demand in full. A further announcement will be made as appropriate.
