RE: Notice Regarding Change of Auditor Pursuant to Section 4.11 of National Instrument 51-102 - Continuous Disclosure Obligations ("51-102")

Notice is hereby given of a change of the auditor of Transcontinental Gold Corp. ("TCG" of the "Corporation") pursuant to 4.11 of NI 51-102.

• 1. Effective January 29, 2021, the board of directors of TCG (the "Board") determined that it would change auditors due to the Corporation's plans necessitating an international auditor.
• 1. The determination not to retain Davidson and the determination to recommend BDO for appointment, in each case as the Corporation's auditor, were considered and approved by both the Corporation's audit committee and the Board. These recommendations will be considered by the Corporation's shareholder and approved by written resolution
• 1. No "reportable events" (as defined in section 4.11(1) of NI 51-102) have occurred.
