Item 2.02 Results of Operations and Financial Condition.

On May 17, 2016, Transcat, Inc. (the “Company”) issued a press release announcing its financial results for its fiscal year 2016 fourth quarter and year ended March 26, 2016. The press release is attached to this Form 8-K as Exhibit 99.1.

In addition, on May 18, 2016, the Company posted slides to the Investor Relations section of its website that will accompany the Company’s earnings conference call and webcast at 11:00 a.m. Eastern Time on May 18, 2016. The slides are attached to this Form 8-K as Exhibit 99.2.
