Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 8, 2014, Richard Weller informed Ingersoll-Rand plc (the “Company”) of his intent to retire from his positions as Vice President and Controller of the Company effective February 15, 2015 after over 9 years of service to the Company. Mr. Weller is also Principal Accounting Officer of the Company. Mr. Weller will continue to serve in his roles through the effective date of his retirement.
