Item 8.01. Other Events

Ingersoll-Rand plc (the "Company") has received a private letter ruling from the U.S. Internal Revenue Service satisfying one of the conditions for the distribution of the shares of Allegion plc. The Company remains on track to complete the distribution in the 4 th quarter of 2013.
