Notification on change of holding in Trakcja PRKiI S.A.

Dear Sirs,

Acting pursuant to Article 69 section 2 point 1 letter a) of the Act on Public Offering and on Conditions of Placing Financial Instruments in the Organised Trade System and on Public Companies of 29 July 2005 (Journal of Law, no. 1382 from 2013, as amended) (the "Act"), we hereby notify the change in the total number of votes at the general meeting of Trakcja PRKiI S.A. with its seat in Warsaw, Poland (the "Company") hold by Comsa S.A.U. with its seat in Barcelona, Spain ( "Comsa").

1. Date and type of event causing the change of in shareholding:

Between 20 November 2013 and 21 April 2016 Comsa has increased its stake by more than 2% in the total number of votes in the Company in a number of sale and purchase transactions executed on the regulated market (Warsaw Stock Exchange).

1. Number of shares held before the change and their percentage in the share capital and number of votes and their percentage in the total number of votes:

Prior to the transactions described in point 1 above, Comsa, together with its subsidiary Comsa Emte sp. z o.o., held 118,418,237 shares, representing 28.80% of the share capital of the Company, entitling to 118,418,237 votes at the General Meeting of the Company, representing 28.80% of the total number of votes at the General Meeting of the Company.

1. Number of shares currently held and their percentage in the share capital and number of votes and their percentage in the total number of votes:

Comsa currently holds 15,843,193 shares, representing 30.82% of the share capital of the Company, entitling to 15,843,193 votes at the General Meeting of the Company, representing 30.82% share in the total number of votes at the General Meeting of the Company.

1. Subsidiaries of the notifying shareholder, holding shares of the Company:

Subsidiaries of Comsa currently do not hold shares in the Company.

1. The persons referred to in Article 87 section 1 point 3 letter c) of the Act:

There are no third parties with whom Comsa has concluded agreements, the subject of which is to transfer the voting rights attached to the shares in the Company.
