We set out below the full text of the resolution duly passed at a General Meeting of Trainline plc on 21 November 2023.

As a SPECIAL RESOLUTION:

1. THAT, subject to the confirmation of the High Court of Justice in England and Wales, the amount standing to the credit of the share premium account of the Company be cancelled.
