Sub: Intimation for Allotment of 73,635 Equity Shares under “TRACXN Employee Stock Option Plan 2016”

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 , we wish to inform that Nomination and Remuneration Committee of the Company vide Circular Resolution dated January 16, 2024 has approved the allotment of 73,635 Equity Shares under TRACXN Employee Stock Option Plan 2016 (ESOP 2016) to the eligible grantees at an exercise price of Re. 1/per Equity Share, pursuant to exercise of stock options granted thereunder. The Equity Shares so allotted shall rank pari passu with the existing equity shares of the Company.

The details required to be furnished under Regulation 30 of Listing Regulations read with SEBI circular SEBI/HO/CFD/PoD2/CIR/P/2023/120 dated July 11, 2023 (“Master Circular”) and SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 issued thereunder have been attached as an Annexure-1 .

Consequent to the aforementioned allotments, the paid up share capital of the Company shall stand increased as under:
