The details as required under Regulation 30 of SEBI Listing Regulations, 2015 read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 9, 2015, has been attached herewith as Annexure.

The meeting of the Nomination and Remuneration Committee commenced at 12 noon and concluded at 12:10 P.M.

12	Brief details of significant terms	Shares arising on conversion of the Options will rank pari-passu with all other Equity Shares of the Company for the time being in issue. The Shares arising out of exercise of Vested Options shall not be subject to any lock-in restriction except such restrictions as may be imposed pursuant to requirements under the Applicable Laws. Each such Option conferring a right upon the Employee to apply for one Equity Share of the Company of face value of Re 1, in accordance with the terms and conditions of such issue and subject to the provisions of ESOP 2016. In case of any corporate action such as rights issue, bonus issue, merger, sale of division and others reasonable adjustments shall be made to the number of options in accordance with ESOP 2016.
