Exercise of Warrants

Totally plc (AIM: TLY), the provider of a range of out-of-hospital services to the healthcare sector in the UK, announces that it has received notice from Allenby Capital Limited that is has exercised warrants to acquire 1,167 new ordinary shares in the Company. The proceeds realisable by the Company from this warrant exercise are £700.20.

Following the exercise of the warrants, Allenby Capital has no further warrants outstanding.

Admission to Trading

Pursuant to the above exercise, 1,167 new ordinary shares of 10 pence each in the Company (the "New Ordinary Shares") have been issued and allotted and application has been made for their admission to trading on AIM. The New Ordinary Shares will rank pari passu in all respects with the existing ordinary shares. It is expected that admission will become effective and that dealings in the New Ordinary Shares is expected to become effective at 8.00 a.m. on 25 July 2016.

Total Voting Rights

Following admission of the New Ordinary Shares, the Company's issued ordinary share capital will consist of 19,996,121 Ordinary Shares with one voting right per share. The Company does not hold any Ordinary Shares in treasury. Therefore, the total number of Ordinary Shares and voting rights in the Company will be 19,996,121. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company.
