RESIGNATION OF JOINT COMPANY SECRETARY

The board (the “ Board ”) of directors (the “ Directors ”) of Top Education Group Ltd (the “ Company ”) hereby announces that, Ms. Ivy Yuk Yin Chow (“ Ms. Chow ”) will tender her resignation as a joint company secretary of the Company with effect from 1 July 2021.

Ms. Chow confirmed that she has no disagreement with the Board and there are no matters in relation to her resignation that need to be brought to the attention of the shareholders of the Company and The Stock Exchange of Hong Kong Limited.

Ms. Min Ying, the other joint company secretary of the Company, who possesses relevant experience as required under Rule 3.28 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited, will remain in office and act as the company secretary of the Company.

The Board would like to take this opportunity to express its sincere gratitude to Ms. Chow for her valuable contributions to the Company during her tenure of service.
