ROSEDALE HOTEL<00149> - Exceptional Turnover Movement The Stock Exchange has received a message from Rosedale Hotel Group Limited which is reproduced as follows:- "This statement is made at the request of The Stock Exchange of Hong Kong Limited. We have noted the recent increase in trading volume of the shares of the Company and wish to state that the Company was verbally informed by one of its substantial shareholders, China Strategic Holdings Limited ("CSH") that CSH has placed 130,000,000 shares of the Company (the "Placing") to independent third parties on 13 May 2003. After the Placing, CSH's shareholdings in the Company are reduced from 893,216,620 shares, representing approximately 32.2% of the issued share capital of the Company to 763,216,620 shares, representing approximately 27.5% of the issued share capital of the Company. The shares in the Company held in public hands are increased to approximately 23.2%. Except for the foregoing, we are not aware of any reason for such increase in trading volume of the shares of the Company. We confirm that there are no negotiations or agreements relating to intended acquisitions or realisations which are discloseable under paragraph 3 of the Listing Agreement, neither is the Board aware of any matter discloseable under the general obligation imposed by paragraph 2 of the Listing Agreement, which is or may be of a price-sensitive nature.
