PUDONG DEVELOPMENT HOLDINGS LIMITED (Incorporated in the Cayman Islands with limited liability) ANNOUNCEMENT The board of directors (the "Board") of Pudong Development Holdings Limited (the "Company") wishes to clarify the recent increase in market price of the shares of the Company. This announcement is made at the request of The Stock Exchange of Hong Kong Limited. We have noted the recent increase in the market price of the shares of the Company and wish to state that we are not aware of any reasons for such increase except that Managing Director of the Company, Mr Tong Cun Lin, has reported an acquisition of 2,524,000 shares in the capital of the Company in the market during this week at a price ranging from HK$0.80 to HK$1.00 and hence the said Director increased his shareholding in the Company from 29.09% to 29.33%. We also confirm that there are no negotiations or agreements relating to intended acquisitions or realisations which are discloseable under paragraph 3 of the Listing Agreement, neither is the Board aware of any matter discloseable under the general obligation imposed by paragraph 2 of the Listing Agreement, which is or may be of a price-sensitive nature.
