APPOINTMENT OF INDEPENDENT FINANCIAL ADVISER

Reference is made to the announcement dated 8 June 2021 jointly published by TOMO Holdings Limited (the “ Company ”) and Billion Legend Company Limited (the “ Offeror ”) in relation to, among others, the Sale and Purchase Agreement and the Offer (the “ Joint Announcement ”). Capitalised terms defined in the Joint Announcement shall have the same meanings when used in this announcement unless the context requires otherwise.

The Board is pleased to announce that Elstone Capital Limited, a corporation licensed to carry out Type 6 (advising on corporate finance) regulated activities under the Securities and Futures Ordinance (Cap. 571 of the Laws of Hong Kong), has been appointed as the Independent Financial Adviser of the Company to advise the Independent Board Committee in respect of the Offer. Such appointment has been approved by the Independent Board Committee pursuant to Rule 2.1 of the Takeovers Code. The letter of advice from Elstone Capital Limited to the Independent Board Committee in respect of the Offer will be included in the Composite Document to be despatched to the Shareholders. Further announcement(s) will be made when the Composite Document is despatched.
