RESIGNATION OF DEPUTY CHAIRMAN AND EXECUTIVE DIRECTOR

The Board announces that Mr. Wang Lei Lei has resigned as the Deputy Chairman and an Executive Director of the Company with effect from 3 September 2008.

The board of directors (the “Board”) of TOM Group Limited (the “Company”) announces that Mr. Wang Lei Lei (“Mr. Wang”) has resigned as the Deputy Chairman and an Executive Director of the Company with effect from 3 September 2008 due to his own career development.

In addition, Mr. Wang has also resigned as the chief executive officer and director of TOM Online Inc., and a director of TOM Eachnet PRC Holdings (BVI) Inc. with effect from 3 September 2008.

Mr. Wang confirmed that he has no disagreement with the Board and there are no matters with respect to his resignation that need to be brought to the attention of the shareholders of the Company.

The Board would like to take this opportunity to express its sincere gratitude to Mr. Wang for his valuable contributions to the Company during his tenure of services.
