RESIGNATION OF CHIEF EXECUTIVE OFFICER AND EXECUTIVE DIRECTOR AND APPOINTMENT OF CHIEF EXECUTIVE OFFICER

The Board announces that Mr. Sing Wang has resigned as the Chief Executive Officer and an Executive Director of the Company with effect from 27 January 2006.

In addition, Ms. Tommei Tong has been appointed as the Chief Executive Officer of the Company with effect from 27 January 2006.

The board of directors (the “Board”) of TOM Group Limited (the “Company”) announces that Mr. Sing Wang has resigned as the Chief Executive Officer and an Executive Director of the Company with effect from 27 January 2006 due to his personal reasons.

Mr. Sing Wang confirmed that he has no disagreement with the Board and there are no matters with respect to his resignation that need to be brought to the attention of the shareholders of the Company.

The Board would like to take this opportunity to express its sincere gratitude to Mr. Wang for his valuable contribution to the Company during his tenure of services.

The Board also announces that Ms. Tommei Tong, the Chief Financial Officer and an Executive Director of the Company, has been appointed as the Chief Executive Officer of the Company with effect from 27 January 2006.
