Kate-Lynn Genzel resigned and Arif Shivji was appointed as Chief Financial Officer of the Company effective March 25, 2026. In connection with the appointment of Arif, the Company is expected to grant 1,100,000 stock options (the "Options").

5.1 Full Description of Material Change
On March 18, 2026, the Company announced the resignation of Kate-Lynn Genzel as Chief Financial Officer of the Company effective March 26, 2026. The Company wishes to thank Ms. Genzel for her contributions during her tenure and wishes her the best in her future endeavors.

On March 25, 2026, the Company announced the appointment of Arif Shivji, CPA, MBA, CFA, as Chief Financial Officer of the Company, effective immediately.

In connection with his appointment, Arif is expected to be granted 1,100,000 Options subject to the approval of the Board of Directors and applicable regulatory authorities. The Options are expected to be granted pursuant to the Company's stock option plan.
