18 Nisan 2025 tarihli açıklamamız ile, Stellantis markaları (Fiat, Opel, Citroën ve Peugeot) için ihracata yönelik demonte araçlar da dâhil olmak üzere yıllık 150.000 adet üretim kapasitesine sahip olacak yeni bir hafif araç modelinin 2026 yılının üçüncü çeyreğinden itibaren Şirketimiz tarafından Türkiye'de çoklu enerji platformunda üretilmesine ilişkin yatırım yapılmasına karar verildiği ve bu kapsamda Stellantis Grubu ile proje detaylarının ve koşullarının belirlenmesine yönelik sözleşme görüşmelerinin yürütüldüğü kamuya duyurulmuştu.

Bu kapsamda, Şirketimiz ile Stellantis Europe S.P.A arasında, Stellantis markaları (FIAT, Opel, Citroën, Peugeot) için "K9" modelinin hafif ticari araç ve "Combi" "versiyonlarının çoklu enerji platformunda Türkiye'de üretim ve dağıtım hakkının Tofaş'a verilmesine ve üretilen araç ile yedek parçaların satış koşullarının belirlenmesine yönelik bir üretim sözleşmesi ("Üretim Sözleşmesi") imzalanmıştır.

İlgili Üretim Sözleşmesi uyarınca toplam 256 milyon Euro tutara kadar yatırım ile 2026'nın üçüncü çeyreğinde hayata geçirilmesi öngörülen proje, demonte araçlar (CKD) da dahil olmak üzere yıllık 150.000 adet üretim kapasitesine sahip olacaktır.

Proje kapsamında, yatırım faaliyetlerinin tamamlanmasını takiben 2034'ün son çeyreğine kadar yaklaşık %80'lik bölümü Türkiye piyasası için olmak üzere, CKD hariç, yaklaşık 660.000 adet araç üretilmesi hedeflenmektedir .

Sermaye Piyasası Kurulu'nun II.17-1 Kurumsal Yönetim Tebliği ("Tebliğ") uyarınca, Üretim Sözleşmesi kapsamında gerçekleştirilecek yaygın ve süreklilik arz eden işlemlerin bir hesap dönemi içerisindeki tutarının, satış işlemlerinde yıllık hasılat tutarına oranının ve alım işlemlerinde yıllık satışların maliyeti tutarına oranının %10'dan fazla bir orana ulaşacağının öngörülmesi nedeniyle, 28 Şubat 2025 ve 30 Nisan 2025 tarihli yönetim kurulu kararları ile kabul edilen yaygın ve süreklilik arz eden işlemlere ilişkin raporlara ek olarak Üretim Sözleşmesi kapsamında gerçekleştirilecek işlemlerin şartlarına ve piyasa koşulları ile karşılaştırılmasına ilişkin rapor hakkında bilgi ayrıca açıklanacaktır.

As disclosed on April 18, 2025, it was announced to the public that our Company had decided to invest in the production of a new light vehicle model, with an annual production capacity of 150,000 units including the complete knocked down units for export, to be manufactured in Turkey as of the third quarter of 2026 on a multi-energy platform for Stellantis brands (Fiat, Opel, Citroën, and Peugeot); and that, in this context contract negotiations with Stellantis Group regarding the project details and terms were initiated.

Within the scope of this announcement, our Company has signed a manufacturing agreement ("Manufacturing Agreement") with Stellantis Europe S.P.A granting us the right to produce and distribute in Turkey the "K9"'s light commercial vehicle and "Combi" versions in multi-energy platforms for Stellantis brands (FIAT, Opel, Citroën, Peugeot) and determining the conditions regarding the sale of the  vehicles and the spare parts.

In accordance with the Manufacturing Agreement, the project—which is planned to be implemented by the end of the third quarter of 2026 with an investment of up to 256 million Euros —will have an annual production capacity of 150,000 units, including completely knocked down (CKD) vehicles.

Following the completion of the investment activities under the scope of the project, approximately 660,000 vehicles—excluding CKD units—are targeted to be produced until the last quarter of 2034, with approximately 80% of the production allocated to the Turkish market.

In accordance with the Capital Markets Board's Corporate Governance Communiqué II-17.1 ("Communiqué"), since the amount of common and continuous transactions to be conducted under the Manufacturing Agreement is anticipated to exceed 10% of the annual revenue disclosed in the latest financial statements for sales transactions and 10% of the cost of sales for purchase transactions within a fiscal period, in addition to the reports on common and continuous transactions approved by the Board of Directors on February 28, 2025 and April 30, 2025 an additional report will be disclosed. This report will provide information on the terms of the transactions to be carried out under the Manufacturing Agreement and their comparison with market conditions.
