The activity report for 2024 issued by the Company in accordance with the Turkish Commercial Code and Serial II.14.1. Communiqué on Principles Regarding Financial Reporting in Capital Markets ("Communiqué") by CMB and subject to independent audit by DRT Bağımsız Denetim ve Serbest Muhasebeci Mali Müşavirlik A.Ş . has been herein attached.

Based on our knowledge within the scope of our duties and responsibilities in the Company, we hereby declare that, as per the CMB regulations, the activity report prepared by our Company which includes Corporate Governance Compliance Report and Corporate Governance Information Form and explanations regarding the Sustainability Principles Compliance Framework of the CMB:

·        has been reviewed by us,

·      based on our knowledge within the scope of our duties and responsibilities in the Company, does not contain any misleading statements with regards to important matters or do not contain any missing information that would be interpreted as misleading as of the date of statement,

·       based on our knowledge within the scope of our duties and responsibilities in the Company, the Activity Report prepared as per the Communiqué fairly reflects the development and performance of the business and along with those within the scope of consolidation, the financial status as well as the significant risks and uncertainties faced with and we assume responsibility for this statement.

Şirketimizce hazırlanan ve DRT Bağımsız Denetim ve Serbest Muhasebeci Mali Müşavirlik A.Ş. tarafından bağımsız denetime tabi tutulan, 2024 yılına ait, Türk Ticaret Kanunu ve Sermaye Piyasası Kurulu'nun Seri II.14.1. Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği"ne ("Tebliğ") uyumlu olarak hazırlanan faaliyet raporumuz ekte sunulmuştur.

Şirketimizdeki görev ve sorumluluk alanımızda sahip olduğumuz bilgiler çerçevesinde; Şirketimizce hazırlanan ve Kurumsal Yönetim Uyum Raporu ile Kurumsal Yönetim Bilgi Formu'nu ve SPK'nın Sürdürülebilirlik İlkeleri Uyum Çerçevesi kapsamındaki açıklamaları da içeren yıllık Faaliyet Raporu'nun, SPK düzenlemeleri doğrultusunda;

·     Tarafımızca incelendiğini,

·     Şirketimizdeki görev ve sorumluluk alanımızda sahip olduğumuz bilgiler çerçevesinde, önemli konularda gerçeğe aykırı bir açıklama veya açıklamanın yapıldığı tarih itibariyle yanıltıcı olması sonucunu doğurabilecek herhangi bir eksiklik içermediğini,

·      Şirketimizdeki görev ve sorumluluk alanımızda sahip olduğumuz bilgiler çerçevesinde, Tebliğ uyarınca hazırlanmış Faaliyet Raporu'nun işin gelişimi ve performansını ve konsolidasyon kapsamındakilerle birlikte işletmenin finansal durumunu, karşı karşıya olunan önemli risk ve belirsizliklerle birlikte, dürüstçe yansıttığını,

bilgilerinize sunar, yapılan açıklamalardan dolayı sorumlu olduğumuzu beyan ederiz.
