PUBLICATION OF THE ANNUAL FINANCIAL REPORT AS OF 31 DECEMBER 2020, BOARD OF STATUTORY AUDITORS' AND INDEPENDENT AUDITORS' REPORTS, CORPORATE GOVERNANCE AND OWNERSHIP STRUCTURE REPORT FOR FINANCIAL YEAR 2020, REMUNERATION REPORT AND THE LISTS OF CANDIDATES FOR THE RENEWAL OF THE BOARD OF DIRECTORS.

Tod's S.p.A. (the "Company") hereby informs that, from the day hereof, pursuant to article 154-ter, subsection 1, of Legislative Decree no. 58 of 24 February 1998 ("TUF"), the Annual Financial Report as of 31 December 2020 (including the Statutory and Consolidated Financial Statements as of 31 December 2020, the Report of the Board of Directors on operation, the non-financial statement pursuant to Legislative Decree 254/2016 and the certification referred to in Article 154-bis, subsection 5, TUF), the Board of Statutory Auditors' and the Independent Auditors' Reports, together with the Corporate Governance and Ownership Structure Report for financial year 2020 and the Report on remuneration policy and fees paid have been made available to Shareholders and the public at the Company's registered office and in the section Governance of the Company's website www.todsgroup.com as well as on the authorized storage device at .

With the same modalities has been also made available to the public, from the date hereof, the following list of candidates for the appointment of the Board of Directors (together with the documentation required by the laws and regulations in force and by the Articles of Association) duly filed at the Company's registered office within 27th March 2021, that is the twenty-fifth day preceding the first call of Shareholders Meeting:
