AVVENUTO DEPOSITO DEL DOCUMENTO DI OFFERTA PRESSO CONSOB

Milano, 29 febbraio 2024 – Ai sensi e per gli effetti dell'articolo 102, comma 3, del TUF e dell'articolo 37-ter del Regolamento Emittenti, Crown Bidco S.r.l. (l'"Offerente") rende noto di aver depositato presso CONSOB, in data odierna, il documento di offerta (il "Documento di Offerta"), destinato alla pubblicazione, relativo all'offerta pubblica di acquisto volontaria totalitaria promossa dall'Offerente ai sensi degli articoli 102 e seguenti del TUF (l'"Offerta") avente a oggetto azioni ordinarie di Tod's S.p.A. ("Tod's" o l'"Emittente"), società le cui azioni sono ammesse alle negoziazioni su Euronext Milan, mercato regolamentato organizzato e gestito da Borsa Italiana S.p.A.

L'Offerente pagherà un corrispettivo pari a Euro 43,00 per ciascuna azione di Tod's portata in adesione all'Offerta.

Il Documento di Offerta sarà pubblicato al termine dell'istruttoria svolta da CONSOB ai sensi dell'articolo 102, comma 4, del TUF.

In attesa della pubblicazione del Documento di Offerta, si rinvia alla comunicazione dell'Offerente – predisposta ai sensi dell'articolo 102, comma 1, del TUF e dell'articolo 37 del Regolamento Emittenti, con cui l'Offerente ha comunicato a CONSOB e reso noto al pubblico, in data 10 febbraio 2024, la propria decisione di promuovere l'Offerta – pubblicata sul sito internet dell'Emittente, all'indirizzo www.todsgroup.com, nonché sul sito internet del global information agent Georgeson S.r.l., all'indirizzo www.georgeson.com, nella quale sono indicati i presupposti giuridici, i termini, le condizioni e gli elementi essenziali dell'Offerta.

OFFER DOCUMENT FILED WITH CONSOB

Milan, 29 February 2024 – Pursuant to, and for the purposes of, Article 102, paragraph 3 of CFA and Article 37-ter of the Issuers' Regulations, Crown Bidco S.r.l. (the "Offeror") hereby announces that, on the date hereof, it has filed with CONSOB the offer document (the "Offer Document"), intended for publication, related to the voluntary totalitarian tender offer launched by the Offeror pursuant to Articles 102 et seq. of CFA (the "Offer") over the ordinary shares of Tod's S.p.A. ("Tod's" or the "Issuer"), company whose shares are admitted to trading on Euronext Milan, a regulated market organized and managed by Borsa Italiana S.p.A.

The Offeror will pay a consideration of EUR 43.00 per each Tod's share tendered to the Offer.

The Offer Document will be published at the end of the review carried out by CONSOB pursuant to Article 102, paragraph 4 of CFA.

Until the Offer Document is published, reference should be made to the communication of the Offeror – pursuant to Article 102, paragraph 1 of CFA and Article 37 of the Issuers' Regulations, through which the Offeror communicated to CONSOB and announced to the public, on 10 February 2024, its decision to promote the Offer – published on the Issuer's website, at www.todsgroup.com, as well as on the global information agent Georgeson S.r.l.'s website at www.georgeson.com, which sets forth the legal requirements, the terms, conditions and essential elements of the Offer.
