RIAVVIO DEI TERMINI ISTRUTTORI

Milano, 14 marzo 2024 – Con riferimento a (i) il documento di offerta (il "Documento di Offerta"), destinato alla pubblicazione, depositato in data 29 febbraio 2024 presso CONSOB da Crown Bidco S.r.l. (l'"Offerente") e relativo all'offerta pubblica di acquisto volontaria totalitaria promossa dall'Offerente ai sensi degli articoli 102 e seguenti del D. Lgs. 24 febbraio 1998, n. 58 (rispettivamente, l'"Offerta" e il "TUF") avente a oggetto azioni ordinarie di Tod's S.p.A. ("Tod's"), e (ii) il comunicato stampa diffuso da Tod's per conto dell'Offerente in data 6 marzo 2024 relativo alla sospensione dei termini istruttori da parte di CONSOB ai sensi dell'articolo 102, comma 4, del TUF, l'Offerente rende noto che, in data odierna, CONSOB ha disposto il riavvio dei suddetti termini istruttori a decorrere dal 15 marzo 2024. Tali termini istruttori avranno scadenza il 25 marzo 2024.

REOPENING OF THE REVIEW PERIOD

Milan, 14 March 2024 – With reference to the (i) the offer document (the "Offer Document"), intended for publication, filed with CONSOB on 29 February 2024 by Crown Bidco S.r.l. (the "Offeror") and relating to the voluntary totalitarian tender offer promoted by the Offeror pursuant to Articles 102 et seq. of the Legislative Decree no. 58 of 24 February 1998 (respectively, the "Offer" and the "CFA") over the ordinary shares of Tod's S.p.A. ("Tod's"), and (ii) press release published by Tod's on behalf of the Offeror on 6 March 2024 concerning the suspension of the time limit for the review period by CONSOB pursuant to Article 102, paragraph 4, of the CFA, the Offeror hereby announces that, on the date hereof, CONSOB decided to reopen the above mentioned review period starting from 15 March 2024. The time limit for the review will expire on 25 March 2024.
