Comunicazione ai sensi dell'articolo 41, comma 2, lettera c), del Regolamento adottato con delibera CONSOB del 14 maggio 1999, n. 11971 ("Regolamento Emittenti")

Milano, 15 marzo 2024 – Con riferimento all'offerta pubblica di acquisto volontaria totalitaria (l'"Offerta") sulle azioni di Tod's S.p.A. ("Tod's") (codice ISIN: IT0003007728) promossa da Crown Bidco S.r.l. (l'"Offerente") e comunicata in data 10 febbraio 2024 ai sensi dell'articolo 102, comma 1, del D. Lgs. del 24 febbraio 1998, n. 58 (il "TUF"), l'Offerente comunica che, in data odierna, LC10 International AIV, L.P. (società che detiene l'intero capitale sociale dell'Offerente e, pertanto, persona che agisce di concerto con l'Offerente ai sensi dell'articolo 101-bis, comma 4-bis, lett. b), del TUF) ("L Catterton") ha eseguito le seguenti operazioni di acquisto aventi a oggetto azioni di Tod's, soggette a obbligo di notifica ai sensi dell'articolo 41, comma 2, lettera c), del Regolamento Emittenti:

Le operazioni sono state effettuate tramite J.P. Morgan Securities plc.

Si precisa che le operazioni di acquisto oggetto della presente comunicazione sono state effettuate a un prezzo unitario per azione di Tod's non superiore a Euro 43,00 (i.e., il corrispettivo offerto per ciascuna azione di Tod's nel contesto dell'Offerta).

A seguito degli acquisti effettuati in data odierna, L Catterton risulta complessivamente titolare di n. 2.622.699 azioni di Tod's, rappresentative del 7,925% del capitale sociale di Tod's.

Milan, 15 March 2024 – With reference to the voluntary totalitarian tender offer (the "Offer") over the shares of Tod's S.p.A. ("Tod's") (ISIN code: IT0003007728) promoted by Crown BidCo S.r.l. (the "Offeror") and announced on 10 February 2024 pursuant to Article 102, paragraph 1, of Legislative Decree no. 58 of 24 February 1998 (the "CFA"), the Offeror hereby announces that, on the date hereof, LC10 International AIV, L.P. (company which owns the entire corporate capital of the Offeror and, therefore, person acting in concert with the Offeror pursuant to Article 101-bis, paragraph 4-bis, letter b), of CFA) ("L Catterton") carried out the following purchase transactions on Tod's shares, to be disclosed pursuant to Article 41, paragraph 2, letter c), of the Issuers' Regulations:

The transactions have been carried out through J.P. Morgan Securities plc.

It should be noted that the purchase transactions hereby announced have been carried out for a consideration per Tod's share not exceeding Euro 43.00 (i.e., the consideration offered per each Tod's share in the context of the Offer).

As a result of the transactions carried out on the date hereof, L Catterton owns an overall amount of no. 2,622,699 shares of Tod's, representing 7.925% of the share capital of Tod's.
