AVVERAMENTO DELLA CONDIZIONE RELATIVA ALL'OTTENIMENTO DELLE AUTORIZZAZIONI RICHIESTE IN RELAZIONE ALL'OFFERTA

Milano, 4 aprile 2024 – Con riferimento a (i) l'offerta pubblica di acquisto volontaria totalitaria promossa da Crown Bidco S.r.l. (l'"Offerente") ai sensi degli articoli 102 e seguenti del D. Lgs. 24 febbraio 1998, n. 58 (il "TUF"), avente a oggetto massime n. 9.255.498 azioni ordinarie di Tod's S.p.A. ("Tod's"), rappresentative del 27,968% del capitale sociale di Tod's (l'"Offerta") e (ii) il documento di offerta (il "Documento di Offerta") – approvato dalla Commissione Nazionale per le Società e la Borsa con delibera del 21 marzo 2024, n. 23042 – relativo all'Offerta, l'Offerente rende noto che sono state ottenute tutte le autorizzazioni, approvazioni e nulla osta richiesti dalle competenti autorità (anche straniere) ai sensi delle leggi applicabili per il perfezionamento dell'Offerta, senza imposizione di alcuna condizione, vincolo o altre misure correttive e/o di rimedio.

Alla luce di quanto precede, l'Offerente comunica che risulta avverata la Condizione Autorizzazioni di cui alla Sezione A, Paragrafo A.1(ii) del Documento di Offerta. Si prega di far riferimento al Documento di Offerta per la descrizione completa dei termini e delle condizioni dell'Offerta.

FULFILMENT OF THE CONDITION RELATING TO THE OBTAINMENT OF THE AUTHORIZATIONS REQUIRED IN CONNECTION WITH THE OFFER

Milan, 4 April 2024 – With reference to the (i) voluntary totalitarian tender offer promoted by Crown Bidco S.r.l. (the "Offeror") pursuant to Articles 102 et seq. of the Legislative Decree 24 February 1998, no. 58 (the "CFA"), over maximum no. 9,255,498 ordinary shares of Tod's S.p.A. ("Tod's"), representing 27.968% of Tod's share capital (the "Offer") and (ii) offer document (the "Offer Document") – approved by the National Commission for Companies and the Stock Exchange (Commissione Nazionale per le Società e la Borsa) by resolution of 21 March 2024, no. 23042 – related to the Offer, the Offeror hereby announces that all the authorizations, approvals or clearances required by any competent authority (even foreign authorities) under the applicable laws for the completion of the Offer, without the imposition of any conditions, constraints or other corrective measures and/or remedies, have been obtained.

In light of the foregoing, the Offeror hereby announces that the Authorizations Condition under Section A, Paragraph A.1(ii) of the Offer Document has been fulfilled. Please refer to the Offer Document for the full description of the terms and conditions of the Offer.
