SOSPENSIONE DEI TERMINI ISTRUTTORI

Sant'Elpidio a Mare (FM), 26 agosto 2022 – Con riferimento al documento di offerta (il "Documento di Offerta"), destinato alla pubblicazione, depositato in data 22 agosto 2022 presso CONSOB e relativo all'offerta pubblica di acquisto volontaria totalitaria, ai sensi degli artt. 102 e seguenti del D. Lgs. 24 febbraio 1998, n. 58, come successivamente modificato e integrato (rispettivamente, l'"Offerta" e il "TUF"), promossa da DeVa Finance S.r.l. (l'"Offerente"), e avente a oggetto azioni ordinarie di Tod's S.p.A., l'Offerente informa che, il 26 agosto 2022, CONSOB ha comunicato la sospensione dei termini istruttori – per un periodo, in ogni caso, non superiore a 15 giorni dalla data odierna – al fine di acquisire, ai sensi dell'art. 102, comma 4, del TUF, talune informazioni supplementari, tra le quali le informazioni di cui alla relazione finanziaria semestrale di Tod's S.p.A. al 30 giugno 2022 (che, come da calendario finanziario, sarà approvata dal consiglio di amministrazione nel corso dell'adunanza del 7 settembre 2022).

Del riavvio dei termini istruttori sarà data tempestiva comunicazione al mercato.

Il presente comunicato non costituisce né intende costituire un'offerta, invito o sollecitazione a comprare o altrimenti acquisire, sottoscrivere, vendere o altrimenti disporre di strumenti finanziari, e non verrà posta in essere alcuna vendita, emissione o trasferimento di strumenti finanziari di Tod's S.p.A. in nessun paese in violazione della normativa ivi applicabile. SUSPENSION OF THE TIME LIMIT FOR THE REVIEW PERIOD

Sant'Elpidio a Mare (FM), August 26, 2022 – With reference to the offer document (the "Offer Document"), intended for publication, filed with CONSOB on August 22, 2022, and related to the voluntary tender offer launched by DeVa Finance S.r.l. (the "Offeror"), pursuant to Articles 102 et seq. of the Legislative Decree No. 58 of 24 February 1998, as subsequently amended and integrated (respectively, the "Offer" and the "ICLF"), on ordinary shares of Tod's S.p.A, the Offeror announces that, on August 26, 2022, CONSOB notified the suspension of the time limit for the review period – in any case for no more than 15 days starting from the date hereof – in order to acquire, pursuant to Article 102, paragraph 4, of the ICLF, certain additional information, including those set forth in Tod's S.p.A.'s half-year financial report as of June 30, 2022 (which, as per the financial calendar, is scheduled to be approved by the board of directors at the meeting to be held on September 7, 2022).

The reopening of the review period will be promptly disclosed to the market.
