DEPOSITO ATTI DI FUSIONE PER INCORPORAZIONE DELLE CONTROLLATE DEL.PAV. S.R.L. E FILANGIERI 29 S.R.L. IN TOD'S S.P.A.

TOD'S S.P.A. – Si rende noto che in data odierna sono stati depositati per l'iscrizione presso il Registro delle Imprese delle Marche gli atti di fusione per incorporazione delle controllate totalitarie Del.Pav. S.r.l. e Filangieri 29 S.r.l. nella Tod's S.p.A. (la "Società"), stipulati in data odierna, in esecuzione delle delibere di fusione adottate dal Consiglio di Amministrazione della Tod's S.p.A. in data 8 settembre 2021.

I rispettivi atti di fusione saranno trasmessi alla Consob nei termini previsti dalla normativa regolamentare vigente.

Si rammenta che le menzionate fusioni, ai sensi dell'art. 9.1 lettera f) del Regolamento Consob n. 17221/2010, non sono soggette alla procedura sulle operazioni con parti correlate adottata dalla Società poiché realizzate con società interamente controllate senza interessi significativi di altre parti correlate.

FILING OF THE DEEDS OF MERGER BY ABSORPTION OF DEL.PAV. S.R.L. AND FILANGIERI 29 S.R.L.INTO TOD'S S.P.A.

TOD'S S.P.A. – We hereby inform that today the deeds of merger by absorption of the wholly owned subsidiaries Del.Pav. S.r.l. and Filangieri 29 S.r.l. into Tod's S.p.A. (the "Company"), entered into on the date of today in execution of the merger resolutions adopted by the Board of Directors of Tod's S.p.A. on September 8th, 2021, have been filed for registration with the Companies Register of the Marche.

The deeds of merger will be transmitted to Consob within the terms provided by the regulations in force.

We also inform that, pursuant to art. 9.1 letter f) of Consob Regulation no. 17221/2010, the above mentioned mergers are not subject to the procedure on transactions with related parties adopted by the Company, as the same are realized with wholly owned subsidiaries without any material interest of any other related parties.
