DEPOSITO ATTO DI FUSIONE TRANSFRONTALIERA PER INCORPORAZIONE DI HOLPAF B.V. IN TOD'S S.P.A.

TOD'S S.P.A. – Si rende noto che in data odierna è stato depositato per l'iscrizione presso il Registro delle Imprese delle Marche l'atto di fusione transfrontaliera per incorporazione della società interamente controllata Holpaf B.V. nella Tod's S.p.A., stipulato in data odierna in esecuzione delle delibere di fusione rispettivamente adottate dal Consiglio di Amministrazione della Tod's S.p.A. in data 7 agosto 2019 e dall'assemblea dei soci di Holpaf B.V. in data 18 novembre 2019.

L'atto di fusione sarà trasmesso alla Consob nei termini previsti dalla normativa regolamentare vigente.

Si rammenta che la menzionata fusione, ai sensi dell'art. 9.1 lettera e) del Regolamento Consob n. 17221/2010, non è soggetta alla procedura sulle operazioni con parti correlate poiché realizzata con società interamente controllata senza interessi significativi di altre parti correlate.

FILING OF THE DEED OF CROSS-BORDER MERGER BY ABSORPTION OF HOLPAF B.V. INTO TOD'S S.P.A.

TOD'S S.P.A. – We inform that today the deed of cross-border merger by absorption of the wholly owned subsidiary Holpaf B.V. into Tod's S.p.A., executed today in execution of the merger resolutions respectively adopted by the Board of Directors of Tod's S.p.A. on August 7th 2019 and by the Shareholders of Holpaf B.V. on November 18th 2019, has been filed for registration with the Register of Companies of the Marche.

The deed of merger will be transmitted to Consob within the terms provided by the regulations in force. We also inform that, pursuant to art. 9.1 letter e) of Consob Regulation no. 17221/2010, the above mentioned merger is not subject to the procedure on transactions with related parties as the same is realized with a wholly owned subsidiary without any material interest of any other related parties.
