PROPOSAL OF CANDIDACY FOR SUPPLEMENTS OF THE BOARD OF DIRECTORS

TOD'S S.P.A. (the "Company") hereby informs that, with reference to item 5 on the agenda of the Shareholders' meeting convened on 27 April 2022 at 11 a.m. on first call and, if necessary, on 28 April 2022 on second call, DI.VI. Finanziaria di Diego Della Valle & C. S.r.l. - as Shareholder holding 50,291% of the share capital of the Company – submitted the candidacy of Mr. Michele Scannavini for the position of Director of the Company, for the purpose of supplementing the current Board of Directors.
