Transaction in Own Shares

Titon Holdings Plc ("Titon" or the "Company"), the UK ventilation systems and window and door hardware manufacturer, announces that on 11 July 2014, it purchased through Barclays Stockbrokers Limited 50,000 of its 10p ordinary shares at a price of 53.0p per share. The purchased shares will be held in treasury.

Following the above purchase the total number of ordinary shares in issue (excluding treasury shares) is 10,505,650 and the total number of ordinary shares held by the Company in treasury is 50,000.

All shareholders have equal voting rights based on the number of shares held. Accordingly, the total number of voting rights in the Company is 10,505,650. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
