Sub: Outcome/Intimation pursuant to Regulation 30 of SEBI (LODR) Regulations, 2015

Pursuant to the captioned Regulation, we write to inform you the following:

1. Shri Sushil Kumar Roongta (DIN: 00309302) has been appointed as Additional Director (Category: Independent) of the Company w.e.f. 1st January, 2021. Pursuant to the recommendation by the Nomination and Remuneration Committee, he has been appointed by the Board and will hold office of Independent Director for a term of 5 (Five) years, subject to approval of shareholders at their next general meeting.

Further, he has no pecuniary relationship or transaction with the Company, its subsidiary or associate company or their promoters or directors directly or indirectly as also confirmed by him through a declaration of independence submitted by him, and meets the criteria of independence as provided in sub-section 6 of Section 149 of the Companies Act, 2013. He is not related to any Director or KMP of the Company. His name does not appear in the list of SEBI debarred entities available on the website of the Stock Exchange.

Shri Sushil Kumar Roongta holds a Bachelor's degree in Engineering from Birla Institute of Technology & Science (BITS), Pilani and a Post Graduate Diploma in Business Management - International Trade, from the Indian Institute of Foreign Trade (IIFT), New Delhi. He was the Executive Chairman of Steel Authority of India (SAIL) during 2006-2010. We hereby enclose a brief profile of Shri Sushil Kumar Roongta for your reference.

1. Shri Prithish Chowdhary (DIN: 08509158) has been appointed as an Additional Director (Category: Non-Executive) of the Company w.e.f. 1st January, 2021. Pursuant to the recommendation by the Nomination and Remuneration Committee, he has been appointed by the Board and will hold office as an Additional Director up to the date of the next Annual General Meeting of the Company.

Except Shri J.P. Chowdhary, Shri Umesh Chowdhary and Smt. Rashmi Chowdhary being relatives of Shri Prithish Chowdhary, none of the Directors/KMPs of the Company is related with him. Shri Prithish Chowdhary, aged 19 years, is a qualified International Baccalaureate from Le Rosey Institut, Geneva. His name does not appear in the list of SEBI debarred entities available on the website of the Stock Exchange.

1. Mr. Luigi Corradi has resigned from his position of Managing Director & CEO of Titagarh Firema SpA, Italy (TFA), a wholly owned subsidiary of the Company, w.e.f. 29th December, 2020, due to his personal reasons and in his place, Mr. Enrico Grigliatti has been appointed as Managing Director & CEO of TFA. Further, Mr. Fabrizio Zamagni has been appointed as General Manager of TFA.

Profile of Sushil Kumar Roongta

S.K. Roongta, 70, is an Electrical Engineering Graduate from BITS, Pilani and PG Diploma in Business Management (International Trade) from IFT, New Delhi- Gold Medallist. He is regarded as an expert on Strategy and Turnaround in Manufacturing Industry in India. :

• ¢ Mr Roongta had joined Steel Authority of India (SAIL) as Executive (Marketing) in 1972 and rose to become its Executive Chairman (2006-2010). eae

• ° His astute understanding of the micro aspects of the business at ground level coupled with, global and strategic vision, helped him transform SAIL as one of the most admired steel companies in the world.

• © Under his leadership, World Steel Dynamics, USA, adjudged SAIL as the 2™ best steel company globally (next to POSCO). SAIL, also became the 2™ most profitable steel company in the world (while being only 18" in size) in FY09.

• ¢ Mr Roongta was instrumental in establishing several successful joint ventures (JVs) namely JV between SAIL and Tata Steel and two slag based JV cement plants. He was the first Chairman of International Coal Ventures Limited (ICVL), a joint venture of five leading PSUs - SAIL, NMDC, RINL,CIL and NTPC.

• eIn June, 2011, Mr Roongta joined Vedanta Group a globally diversified resource company, as its Managing Director, Aluminium and Power Business. During his four years' stint with the group, he brought about significant improvements in asset utilization, financial and operational performance and took strategic steps for raw materials security. He is presently Non-Executive Chairman of the group company Bharat Aluminium Company Ltd. (BALCO).

• ¢ Mr Roongta thus has the distinction of successfully helming the role of CEO for major public and private sector companies across diverse sectors — Steel, Aluminium and Power Infrastructure.

Principal positions held as an expert

eMr Roongta was Chairman of "Panel of Experts on Reforms in the Central PSEs" constituted by then Planning Commission-consisting of fourteen eminent members (2010-2011). Widely known as 'Roongta Committee Report', it is generally taken as benchmark for CPSE reforms.

• Mr Roongta served as the Chairman, Board of Governors, Indian Institute of Technology (IIT), Bhubaneswar (2012-2015).

• Mr was member of the Ad-hoc Task Force(s) for Results-Framework Document (RFD) for Performance Monitoring and Evaluation System (PMES) for the Central Government Departments/Ministries, for the year 2012-13, 2013-14 and 2014-15, constituted by the Cabinet Secretariat, GOI.

• He was Member of an Expert Committee headed by Adi Godrej, formed by the Ministry of Corporate Affairs, to formulate a Policy Document on the Corporate Governance in the Country (2011).

• Mr Roongta presently serves as Director on the Boards of several companies in diverse fields, namely ACC Ltd., Jubilant Life Sciences Ltd.,J.K. Paper Ltd., and Hero Steels Ltd. ete. He is member of the Board of Management, JK Lakshmipat University.

• Mr Roongta had earlier served as Independent Director on the Boards of Axis Bank Limited, Hindustan Petroleum Corporation Ltd.(HPCL), The Shipping Corporation of India Ltd.(SCI) and Nevyeli Lignite Corporation Ltd. (NLC) three Navratna PSUs.

• He is a recipient of several awards including SCOPE award for 'Excellence and Outstanding Contribution to the Public Sector Management' Individual Category and IIM-JRD Tata Award for 'Excellence in Corporate Leadership in Metallurgical Industries 2016'.
