Sub: Intimation pursuant to Regulation 30 of SEBI (LODR) Regulations, 2015

In accordance with the captioned Regulation, we write to inform you that Ms. Nayantara Palchoudhuri (DIN: 00581440) has been appointed as Additional Director (Category: Independent) of the Company w.e.f. 22[nd] June, 2020. Pursuant to the recommendation by the Nomination and Remuneration Committee, she has been appointed by the Board and will hold office of Independent Director for a term of five years subject to approval of shareholders at their next general meeting.

Further, she has no pecuniary relationship or transaction with the Company, its subsidiary or associate company or their promoters or directors directly or indirectly as also confirmed by her through a declaration of independence submitted by her, and meets the criteria of independence as provided in sub-section 6 of Section 149 of the Companies Act, 2013. She is not related to any Director or KMP of the Company.

Ms. Nayantara Palchoudhuri aged about 58 years, has more than 25 years’ experience in the operations and management of the tea estates in North Bengal. Apart from being a member of the board of a few other companies and serving as the Honorary Consul for Norway in Eastern Region, she is Vice Chairman Indian Tea Association and Vice Chairman (Additional) and Council Member of Tea Research Association. She is B.A. (HONS) in Political Science from University of Jadavpur with a First Class First and was awarded the University Gold Medal and the National Scholarship. She also holds a M.A. in Development Studies from the School of Oriental and African Studies (University Of London), M. Phil (Research Degree) from the London School of Economics & Political Science (LSE) and was awarded the Metcalfe Scholarship Served as a member of the Senate of University of Calcutta.
