COMMUNICATION RELEASED BY TINEXTA S.P.A. ON BEHALF OF AND AT THE REQUEST OF ZINC BIDCO S.P.A. AND TECNO HOLDING S.P.A.

Essential information relating to the shareholders' agreements concerning Tinexta S.p.A.

30 December 2025 – With reference to the essential information prepared pursuant to Articles 122 of Legislative Decree No. 58 of 24 February 1998 and 130 of the Regulation adopted by CONSOB Resolution No. 11971 of 14 May 1999, relating to the share purchase agreement and the shareholders' agreement containing shareholders' provisions concerning Tinexta S.p.A., entered into on 4 August 2025 by Tecno Holding S.p.A. ("TH") and Zinc TopCo S.p.A. (formerly Zinc TopCo S.r.l.) ("TopCo") (the "Essential Information"), it is hereby announced that, as of today, an updated version of the Essential Information has been published in order to reflect (i) the completion of the transaction for the sale and purchase of the shares of Tinexta S.p.A. held by TH in favour of Zinc BidCo S.p.A., a company wholly owned by TopCo; and (ii) certain amendments to the shareholders' agreement entered into on 4 August 2025, aimed at reflecting the prescriptions set forth in the decree of the Presidency of the Council of Ministers adopted pursuant to the so-called golden power legislation.
