PUBLIC DISCLOSURE REQUIREMENTS: FILING OF THE ANNUAL FINANCIAL STATEMENTS FOR THE ORDINARY SHAREHOLDERS' MEETING ON 14 APRIL 2025
Rome, 23 March 2025. Tinexta S.p.A. (the "Company") informs that the Annual Financial Statemets, comprising the Consolidated Financial Statements of the Tinexta Group as at 31 December 2024, the Company's draft Financial Statements as at 31 December 2024, the Report of the Board of Directors on operations (including the consolidated sustainability report, prepared in accordance with the Italian Legislative Decree no 125 of 6 September 2024) and the certifications pursuant to Article 154-bis, paragraphs 5 and 5-ter of Legislative Decree No. 58 of 24 February 1998 ('Consolidated Finance Act'), as well as the reports prepared by the Independent Auditors and the Board of Statutory Auditors, the Report on the Remuneration Policy 2025 and on the remuneration paid 2024 prepared pursuant to Article 123-ter of the Consolidated Finance Act with the information on the remuneration plans based on financial instruments, the Report on Corporate Governance and Ownership Structure drafted pursuant to Article 123-bis of the Consolidated Finance Act and the Explanatory Report referred to Item No. 4 of the Agenda are available to the public at the Company's registered office, on the Company's website www.tinexta.com section 'Governance/Shareholders' Meetings', as well as at the authorised storage mechanism "eMarket STORAGE" ().
Finally, the Company informs that the financial statements and/or summary schedules of Tinexta's subsidiaries and affiliated companies, pursuant to Article 2429 of the Italian Civil Code, will be made available to the public within the terms provided for by the regulations in force.
