Public Disclosure Requirements: Filing the Annual Report and material for the Shareholders' Meeting

Rome, 31 March 2021. Tinexta S.p.A. (the "Company") informs that the Italian version of the Annual Financial Report, including the Consolidated Balance Sheet of the Tinexta Group at 31 December 2020, the Company's draft Financial Statements at 31 December 2020 with the Non-Financial Informations pursuant to Legislative Decree No. 254, the Directors' Management Report on Operations and the certifications referred to in art. 154-bis, paragraph 5, of Legislative Decree No. 58 of 24 February 1998, as well as the reports of the external auditing company and of the Board of Statutory Auditors, are available to the public at the registered office, as well as on the Company's website (www.tinexta.com) in the "Governance - Shareholders' Meeting" section, as well as via the "eMarket STORAGE" () authorized storage facility. The English translations of these documents will be made available as soon as possible.

The Report on Corporate Governance –and Ownership Structure drawn up pursuant to Article 123 bis of Decree Legislative 24 February 1998 No. 58 is also available to the public at the Registered Office and on the website of the Company (www.tinexta.com) in the section "Corporate Governance" and via the authorized storage mechanism "eMarket storage" () are the following documents in Italian: The English translations will be rendered public as soon as possible.

Finally, the Company informs that the annual reports and/or the summary prospectuses (only in Italian) of the subsidiaries and affiliates of Tinexta pursuant to Art. 2429, paragraphs 3 and 4 of the Italian Civil Code will be made available to the public in the manner and in the terms provided for by applicable regulation.
