COMMUNICATION RELEASED BY TINEXTA S.P.A. ON BEHALF OF AND AT THE REQUEST OF TECNO HOLDING S.P.A.

Essential information relating to the shareholders' agreements concerning Tinexta S.p.A.

8 October 2025 – With reference to the essential information prepared pursuant to Articles 122 of Legislative Decree No. 58 of 24 February 1998 and 130 of the Regulation adopted by CONSOB resolution No. 11971 of 14 May 1999, relating to the agreements containing shareholders' agreement provisions concerning Tinexta S.p.A. entered into by Tecno Holding S.p.A. and Zinc TopCo S.r.l. on 4 August 2025 (the "Tinexta Agreements"), it is hereby announced that today an updated version of such information has been published in order to reflect – in paragraph 6.1 – IV – an amendment concerning the terms for the submission of resignations by the directors of Tinexta.

The essential information relating to the shareholders' agreements contained in the Tinexta Agreements is available on the website of Tinexta S.p.A. (section "Governance / Shareholders' Agreements") as well as on the authorised storage mechanism eMarket.
