COMMUNICATION RELEASED BY TINEXTA SPA ON BEHALF OF AND AT THE REQUEST OF TECNO HOLDING SPA

July 21, 2025 - With reference to the press reports published on July 18, 2025 in relation to Tinexta, Tecno Holding (a company owned by Chambers of Commerce and majority shareholder of the issuer) confirms that talks are underway with a consortium composed by Advent and Nextalia funds, which have been granted an exclusive period to carry out limited due diligence activities in line with the practice for this type of transaction, in order to define the terms and conditions of a possible strategic partnership aimed at the valorization of Tinexta and the possible delisting of the issuer.

At present, no binding agreement has been reached regarding the terms and conditions, including economic ones, of the potential transaction.

Updates will be provided to the market in accordance with applicable laws and regulations.
