TINEXTA CYBER COMPLETES THE ACQUISITION OF 100% OF CORVALLIS, YOROI AND SWASCAN COMPANIES
Rome, 11 April 2024. Following the press release of October 12, 2020, as well as the press releases of October 20, 2020, January 22, 2021 and January 26, 2021, Tinexta S.p.A. - a leading company in Digital Trust, Cybersecurity and Business Innovation services - announces that today its subsidiary Tinexta Cyber S.p.A, which already holds 70% of the share capital of Corvallis S.r.l, 60% of the share capital of Yoroi S.r.l. and 51% of the share capital of Swascan S.r.l., has acquired the minority stakes and now holds the entire share capital of these companies.
These acquisitions took place following the exercise of the put and call options provided for in the agreements with the respective minority shareholders for a price, paid in cash, of Euro 12,0 millions for 30% of the share capital of Corvallis S.r.l., Euro 24,8 millions for 40% of the share capital of Yoroi S.r.l. and Euro 18,3 millions for 49% of the share capital of Swascan S.r.l..
