THE BOARD OF DIRECTORS VERIFIED THE REQUIREMENTS OF THE DIRECTOR APPOINTED BY THE SHAREHOLDERS' MEETING
18 December 2024 - The Board of Directors of Tinexta S.p.A., held today, verified the permanence on the Director Mr. Eugenio Rossetti - whose appointment as a Director following resignation and subsequent co-optation was confirmed by the Ordinary Shareholders' Meeting held on 12 December 2024 - of the requirements established by the law and the Corporate Governance Code - to which the Companies adheres - including independence requirements. Furthermore, the Board of Directors confirmed the appointment – previously resolved at the time of co-optation as Director – of Mr. Eugenio Rossetti as Chairman of the Company' Control and Risks Committee. Therefore, the Control and Risks Committee is composed by the following members: Eugenio Rossetti (Chairman), Barbara Negro and Riccardo Ranalli.
