Approval of the extraordinary transaction concerning Tinexta by the shareholders' meeting of Tecno Holding

7 August 2025 – Following to the announcement made on 5 August 2025, Tecno Holding S.p.A. ("Tecno Holding"), a company wholly owned by the Italian Chambers of Commerce and the majority shareholder of Tinexta S.p.A. (the "Company" or "Tinexta") – announces that today the shareholders' meeting of Tecno Holding, with the unanimous consent of the attendees, approved, in accordance with its by-laws, the partnership transaction with investment funds managed by Advent International L.P. and Nextalia SGR S.p.A., aimed, inter alia, at the delisting of Tinexta shares from Euronext STAR Milan (the "Transaction"), which will result in the said funds acquiring control of Tinexta, while Tecno Holding will retain a qualified minority interest with governance rights.

The Transaction remains subject to the receipt of all authorizations and consents required by applicable law (i.e., antitrust and golden power), the fulfilment of which will be promptly communicated to the market from time to time.
