The requirement of sending physical copy of the Annual Report and Notice of AGM has been dispensed with vide MCA Circulars and the SEBI Circular.

The Annual Report 2019-20 alongwith the Notice of AGM is also available on the Company’s website viz. www.timexindia.com, on website of BSE Ltd. viz. www.bseindia.com and also on NSDL website viz. www.evoting.nsdl.com.

In compliance with the relevant provisions of the Companies Act, 2013 read with Rules made thereunder, SEBI Regulations and Secretarial Standards, the Company is providing the facility of remote e-voting to the Members prior to the AGM and during the AGM in respect of the business to be transacted at the AGM. The Company has appointed National Securities Depository Limited (NSDL) for facilitating e-voting to all Members. The instructions for e-voting are given in the Notice of the AGM. Members are informed that:

a. The Remote E-voting period shall commence on 15[th] September, 2020 (9:00 A.M.) and end on 17[th] September, 2020 (5:00

• P.M.). The e-voting Module for voting shall be disabled by NSDL after the aforesaid date and time.

b. The Voting rights of Members shall be in proportion to their share of the paid up equity share capital of the Company as on Friday, 11[th] September, 2020 (‘Cut-off date’). A person whose name is recorded in the Register of Members/ Register of Beneficial Owners as on the cut-off date only shall be entitled to avail the facility of remote e-voting before or during the AGM.

c. Any person who has acquired shares and became Member of the Company after dispatch of the Notice and holding shares as on the Cut-Off Date may obtain his login ID and password by sending an email to evoting@nsdl.co.in or may contact on toll free number 1800-222-990. If a person is already registered with NSDL for e-voting then existing User ID and password can be used for casting vote.

d. The facility of remote e-Voting system shall also be made available during the Meeting and the Members, who have not already cast their vote by remote e-voting shall be able to exercise their right during the Meeting. Members who have not yet registered their email addresses with the Company/ RTA/ DP are requested to follow the process mentioned below for registering their email addresses to receive the Notice of the AGM and Annual Report electronically and to receive login ID and password for e-Voting:

a) For the shareholders holding shares in physical mode - Provide Folio No., Name of shareholder, scanned copy of the share certificate (front and back), PAN (self-attested scanned copy of PAN card), AADHAR (self-attested scanned copy of Aadhar Card) by email to Company at investor.relations@timex.com
