POSITIVE PROFIT ALERT

This announcement is made by TIMELESS SOFTWARE LIMITED (the “ Company ”, together with its subsidiaries, the “ Group ”) pursuant to Rule 17.10 of the Rules Governing the Listing of Securities on GEM of The Stock Exchange of Hong Kong Limited (the “ GEM Listing Rules ”) and the Inside Information Provisions (as defined under the GEM Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The board (the “ Board ”) of directors (the “ Directors ”) of the Company is pleased to inform the shareholders and potential investors of the Company that based on preliminary assessment on the unaudited consolidated management accounts of the Group for the three months ended 30 June 2021 (the “ Reporting Period ”), the Group is expected to record a profit after tax of about HK$25 million for the Reporting Period as compared to the profit after tax of HK$9 million for the three months ended 30 June 2020. The increase in the profit after tax was mainly attributable to increase in revenue from the Mining Business by approximately 69% due to increase in volume and average selling prices of high-grade nickel-copper ores sold.

The Group is still in the process of finalising the results of the Group for the Reporting Period. The information contained in this announcement is a preliminary assessment made by the Board based on the unaudited consolidated management accounts and other information currently available to the Group, which have not been audited, confirmed or reviewed by the Company’s auditors nor the audit committee of the Company and are subject to potential adjustments. The actual results of the Group for the Reporting Period may be different from what is disclosed herein. The finalised results of the Group for the Reporting Period are expected to be published on 9 August 2021.
