The following is a Company Announcement issued by G3 FINANCE P.L.C., a company registered under the laws of Malta with company registration number C 94829 (hereinafter the "Company"), pursuant to the Capital Markets Rules issued by the Malta Financial Services Authority in accordance with the provisions of the Financial Markets Act (Chapter 345 of the laws of Malta), as amended from time to time.

Completion of Merger of Group company

The Company makes reference to company announcement G305 issued on the 19th July 2022 in connection with the amalgamation by virtue of a merger by acquisition by G3 Hospitality Limited (C 26935) of G3 Properties Limited (C 9518) and confirms that the amalgamation of G3 Hospitality Limited and of the company being acquired G3 Properties Limited became effective on the 16 th November 2022.

In virtue of the afore-mentioned merger by acquisition having taken effect, G3 Hospitality Limited, as the acquiring company, succeeded to all the assets, rights, liabilities and obligations of G3 Properties Limited, which, in turn, ceased to exist and has been struck off with effect from 16 th November 2022.
