In compliance with Regulation 29(1) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we hereby inform you that a meeting of the Board of Directors (“Board”) of Tilaknagar Industries Ltd. (“the Company”) will be held on Tuesday, July 29, 2025, inter alia to consider and if thought fit, to approve the following:

• 1) Proposal for raising of funds by issuance of equity shares and / or other securities, including warrants, either singly or in combination, through preferential issue on a private placement basis or through any other permissible modes, in one or more tranches, as may be permitted under applicable laws and to approve ancillary actions for the above mentioned fund raising as may be decided by the Board subject to approval of the shareholders, regulatory and statutory authorities, as may be required and;

• 2) Conduct of an Extraordinary General Meeting through e-voting process in accordance with the procedure laid down under the provisions of the Companies Act, 2013, to seek approval of shareholders inter-alia in respect of the aforesaid fund raising proposal, if approved by the Board.

Pursuant to the provisions of the SEBI (Prohibition of Insider Trading) Regulations, 2015 and the Company's Code of Conduct for the Prevention of Insider Trading, the Trading Window for dealing in the Company's Equity Shares remains closed.
