Pursuant to Regulation 29(l)(d) & (2) of the SEBI (LODR) Regulations, 2015, notice is hereby given that a Meeting of the Board of Directors of the Company will be held on Thursday, January 23, 2020 at the Corporate Office of the Company to, mter-alia, consider and approve the following matters:
- (i) To discuss/finalize on preferential issue of equity shares to investors towards raising of additional capital by the Company pursuant to Section 62 of the Companies Act, 2013 and as per the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018;
- (ii) To discuss/finalize on preferential issue of equity shares to the lender towards conversion of part of the loan into equity shares pursuant to Section 62 of the Companies Act, 2013 and as per the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018; and
- (iii) Any other matter with the permission of the Chair.
Kindly also take note that pu rsuant to TI Code of Conduct for Prevention of Insider Trading, the Trading Window for dealin g in the shares of the Company by the Designated Person s is already closed till 48 (forty-eight) hours after declaration of the unaudited financial results (Standalone and Consolidated) of the Company for the quarter and nine months ended December 31, 2019 as intimated vidc our letter no. TI/BSE/COMP/ 19-20/72 dated December 31, 2019.
