INSIDE INFORMATION ANNOUNCEMENT UPDATE ON THE STATUS OF WASTEWATER TREATMENT PLANT 1

This announcement is made by TIL Enviro Limited (the ‘‘Company’’, together with its subsidiaries, the ‘‘Group’’) pursuant to Rule 13.09(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the ‘‘Listing Rules’’) and the Inside Information Provisions (as defined in the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

References are made to the announcements of the Company dated 29 July 2020, 5 July 2021 and 14 July 2021 (the ‘‘Inside Information Announcements’’) in relation to, among others, the possibility of Municipal Administration of Yinchuan* (銀 川 市市政 管 理局) (‘‘Yinchuan Municipal’’) diverting the wastewater influent from the Yinchuan wastewater treatment plant 1 (the ‘‘Wastewater Treatment Plant 1’’) of Taliworks (Yinchuan) Wastewater Treatment Co. Ltd* ( 達力 (銀 川 ) 污水處 理有限 公 司) (‘‘TYW’’), a wholly-owned subsidiary of the Company, to a new recycled water treatment plant in Yinchuan (not owned by the Group) (the ‘‘Third Party Plant’’), and the possibility of shutting down the Wastewater Treatment Plant 1 when the Third Party Plant commences operation (the ‘‘Proposal’’). Unless otherwise stated, the capitalised terms used in this announcement shall have the same meanings as those defined in the Inside Information Announcements.

The Board wishes to update the shareholders of the Company (the ‘‘Shareholders’’) and potential investors that Yinchuan Municipal has set up a committee and appointed an independent third party to verify the assets of the Wastewater Treatment Plant 1 for the purpose of finalising the compensation agreement with TYW. As at the date of this announcement, the independent third party is in the midst of finalising the compensation amount. Hence, no formal written agreement has been entered into between TYW and Yinchuan Municipal in relation to the aforesaid arrangement.

TYW will continue to work closely with Yinchuan Municipal and the independent third party on this matter. The Company will make further announcement(s) on the compensation arrangement as and when appropriate in accordance with the requirements of the Listing Rules.
