The following is a Company Announcement issued by Tigné Mall p.l.c. (C 35139) (the "Company") in terms of Chapter 5 of the Capital Markets Rules issued by the Malta Financial Services Authority

Conditional Voluntary Public Takeover Bid - Information to the Market

Reference is made to the conditional voluntary public takeover bid for the acquisition of the entire issued share capital of the Company in accordance with Chapter 11 of the Capital Markets Rules (the "Offer") launched by Marsamxett Properties Ltd (C 106474) by means of an offer document dated 13 September 2024. The period for the acceptance of the Offer ended on the 7 October 2024 at 12:00 hours. The Company has been informed by its substantial shareholder, Mapfre MSV Life p.l.c. (C 15722) of The Mall, Triq il-Mall, Floriana, Malta, that it has accepted the Offer with respect to the 20,000,000 ordinary shares held thereby in the Company (reflecting a holding of 35.46% of the Company's issued share capital).

The Company will keep the market updated in accordance with the Capital Markets Rules.
