BADGER CAPITAL CORP. ANNOUNCES APPOINTMENT OF NEW AUDITOR

VANCOUVER, BC – November 4, 2022 – Badger Capital Corp. (“ Badger ” or the “ Company ”) (TSX-V: YVR) announces that effective November 4, 2022 (the “ Effective Date ”), it has appointed MNP LLP (“ MNP ”), Chartered Professional Accountants, at their Vancouver offices at Suite 2200 MNP Tower, 1021 West Hastings Street, Vancouver, BC V6E 0C3, to serve as the Company’s auditor.

MNP replaces Manning Elliott LLP (“ ME LLP ”), Chartered Professional Accountants, as the Company’s auditor. In accordance with National Instrument 51-102 - Continuous Disclosures Obligations , Badger has filed a copy of its change of auditor notice on SEDAR together with the letters from each of ME LLP and MNP in relation to the foregoing.
